1. Definitions
In these Terms and Conditions, the following capitalized words have the meanings set forth below:
- “Tanjo Box” (also “we,” “us,” “our”): Reliance America Corporation o/a Tanjo Box, a company incorporated under the laws of Canada, having its principal place of business at [Address, Montreal, Quebec], and registered with the Registraire des entreprises du Québec under NEQ XXXXXXXX.
- “Customer” (also “you,” “your”): Any individual or entity that accesses the Website or uses the Services.
- “Account”: A unique customer profile created by you to access the Service, including login credentials (e-mail and password).
- “Order”: A request placed by the Customer to purchase any products (e.g., meal kits, ready-to-eat meals, grocery items) through the Website.
- “Service(s)”: The meal-delivery and/or e-commerce services provided by Tanjo Box via the Website and any affiliated mobile application.
- “Website”: https://www.tanjobox.ca and any subdomains, including any mobile applications provided by Tanjo Box.
- “Privacy Policy”: Tanjo Box’s separate policy regarding the collection, use, and disclosure of personal information, available at [link].
- “Consumer Protection Act (Québec)”: An Act to amend the Consumer Protection Act, CQLR, c P-40.1, as amended.
2. Acceptance of Terms & Modification
2.1 Acceptance.
By accessing or using the Website or any Service, or by selecting the “I Agree” button when placing an Order, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to all these terms, you must immediately cease using the Website and the Services.
2.2 Modifications.
We reserve the right to modify these Terms and Conditions at any time. When we do so, we will post the revised Terms on our Website along with the “Last Updated” date. Your continued use of the Website or Services after changes become effective constitutes your acceptance of the revised Terms and Conditions.
3. Eligibility & Account Registration
3.1 Age.
The Services are not available to persons under the age of 18. By using the Service, you represent and warrant that you are at least 18 years old.
3.2 Account.
To place an Order, you must create a valid Account. You agree to:
- Provide accurate, current, and complete information when creating your Account;
- Maintain and promptly update your Account information to keep it accurate, current, and complete;
- Be responsible for safeguarding your password and any activities or actions under your Account, whether or not you have authorized such activities or actions;
- Notify us immediately of any unauthorized use of your Account.
3.3 Multiple Accounts.
You must not create more than one Account.
3.4 Suspension or Termination.
We reserve the right to suspend or terminate your Account if you violate these Terms or engage in any activity that could harm other users or us.
4. Ordering & Payment
4.1 Order Placement.
All Orders placed through our Website are subject to acceptance by Tanjo Box. We reserve the right to refuse or cancel any Order for any reason, including unavailability of products, errors in pricing, or suspected fraudulent activity.
4.2 Prices & Taxes.
a) All prices are shown in Canadian dollars (CAD) and are subject to applicable federal and provincial taxes (e.g., GST, QST). Prices displayed at the time of Order are binding, except in the event of obvious pricing errors. If a pricing error is discovered after your payment, we will either (i) contact you for instructions on how to proceed, or (ii) cancel the Order and issue a full refund.
b) Delivery or service fees, if any, will be displayed before you complete your Order.
4.3 Payment Methods.
You may pay by the methods specified on our Website (e.g., Visa, MasterCard, Interac e-Transfer, etc.). By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that all information you provide is accurate.
4.4 Subscription & Automatic Renewal.
If you subscribe to a recurring meal plan or subscription service (“Subscription Service”), you authorize us to charge your payment method for each delivery cycle. You may cancel your Subscription at any time by logging into your Account or by contacting Customer Service at least 4 days before your next scheduled delivery. Failure to cancel within the prescribed timeframe may result in charges for the next delivery.
4.5 Payment Authorization.
Your placement of an Order constitutes your authorization for Tanjo Box to charge the specified payment method. If payment cannot be processed, we may suspend or cancel your Order or any future Orders.
5. Delivery, Title & Risk of Loss
5.1 Delivery Methods & Timeframes.
We will deliver the products to the address you provide in your Order. Standard deliveries occur between 6:30 PM and 7:00 PM on Fridays. We reserve the right to use third-party carriers.
5.2 Title & Risk of Loss.
Title to, and risk of loss or damage for, any products ordered pass to you upon delivery at the address specified in your Order.
Rapid delivery entails that the delivery person or robot leaves the order at your door. You will receive a text informing you of delivery 5 minutes before it arrives and immediately after it has been delivered. The item is considered delivered, and any risk of loss or damage passes to you at that moment.
5.3 Failed Delivery Attempts.
If delivery cannot be completed (e.g., no one present at the address, inaccessible location), we will attempt redelivery once within a reasonable timeframe. If unsuccessful, we may cancel your Order and issue a refund minus any non-refundable fees incurred (e.g., portion of delivery costs paid to a carrier).
5.4 Delivery Issues.
If you discover that your Order is missing items, damaged, or incorrect, you must notify us within 24 hours of delivery at support@tanjobox.ca along with photos of what you have received. After this period, we are under no obligation to issue a credit or replacement.
6. Cancellation, Returns & Refunds
6.1 Consumer’s Right of Withdrawal (Distance Contracts).
If you are a resident of Quebec and you purchase products remotely (online) without meeting in person, you have the right to withdraw from the contract within seven (7) days following the day you receive the products, without penalty and without specifying a reason, as per the Consumer Protection Act (Québec). To exercise this right, you must:
a) Notify us in writing (e.g., by email to support@tanjobox.ca) before the 7-day period expires; and
b) Return the products in their original condition and packaging, at your expense, within the 7-day period.
We will refund all amounts paid for the returned products (excluding delivery fees), within thirty (30) days of receiving notice of withdrawal, unless the products were damaged or used beyond what is necessary to establish their nature, characteristics, and functioning.
6.2 Non-Cancelable Items.
Notwithstanding section 6.1, perishable goods (e.g., fresh meals, ingredients) are exempt from the right of withdrawal once delivery has occurred, except for defects in conformity or non-delivery.
6.3 Cancellation by Tanjo Box.
We may cancel your Order for any reason (e.g., product unavailability). If we do so after payment, we will refund you in full.
6.4 Returns for Defective or Non-Conforming Products.
If a product is defective or does not conform to the description, you must notify us within twenty-four (24) hours of delivery. We will arrange pick-up or issue a return label. Upon receipt, we will replace the product or refund you, at your option.
7. Consumer Protection (Québec)
7.1 Consumer Rights.
For Residents of Québec, these Terms and Conditions are subject to the Consumer Protection Act (Québec). Any provision found to contravene that Act is deemed null and void, and the remainder of these Terms remain in force.
7.2 Language.
The French version of these Terms and Conditions is the legally binding version for Residents of Québec. In the event of any conflict between the English and French versions, the French version governs.
7.3 Mandatory Notices.
In compliance with the Consumer Protection Act (Québec), we confirm:
a) Our obligation to deliver products within the time frame agreed upon or, if no time frame is indicated, within a reasonable time;
b) The consumer’s right to cancel a distance contract within seven (7) days, except for perishable goods once delivered (see section 6.1);
c) That any warranty given by Tanjo Box is in addition to the consumer’s statutory rights.
8. Privacy & Data Protection
8.1 Privacy Policy.
We collect, use, and disclose personal information in accordance with our Privacy Policy (available at [link]). By using our Website and Services, you consent to the collection and use of your personal information as described therein.
8.2 Law 25 Compliance.
In accordance with Quebec’s Law 25, you have the right to access, correct, and request deletion of your personal information. To exercise these rights, contact us at privacy@tanjobox.ca.
9. Intellectual Property
9.1 Ownership.
All content on the Website, including text, graphics, logos, images, audio clips, and software, is the property of Tanjo Box or its licensors and is protected by Canadian and international copyright and trademark laws.
9.2 Trademark Notice.
“Tanjo Box” and our logo are trademarks of Reliance America Corporation. You may not use, reproduce, or display any of the trademarks without our prior written consent.
9.3 User-Generated Content.
If you post or submit reviews, ratings, testimonials, photos, or any other content to the Website (“User Content”), you grant Tanjo Box a perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, translate, distribute, and display such User Content in any media for marketing, promotional, and other business purposes. You represent and warrant that you own or have the necessary rights to grant us this license and that your User Content does not infringe any third-party rights.
10. Warranties, Disclaimers & Limitation of Liability
10.1 No Warranty.
THE WEBSITE, SERVICES, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Tanjo Box does not guarantee that the Website or Services will be uninterrupted, error-free, secure, or free from viruses.
10.2 Limitation of Liability.
TO THE EXTENT PERMITTED BY LAW, TANJO BOX’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND CONDITIONS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE ORDER THAT GAVE RISE TO THE CLAIM. IN NO EVENT SHALL TANJO BOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. Nothing in these Terms excludes or limits liability for gross negligence or willful misconduct, as prohibited by Quebec law.
10.3 Indemnification.
You agree to indemnify, defend, and hold harmless Tanjo Box, its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with:
a) Your breach of these Terms;
b) Your negligence or willful misconduct;
c) Your use of the Website or Services; or
d) Any User Content you submit that infringes the rights of a third party.
11. Hyperlinks to Third-Party Sites
This Website may contain hyperlinks to third-party websites or resources. You acknowledge and agree that Tanjo Box is not responsible or liable for: (a) the availability or accuracy of such external sites or resources; (b) the content, products, or services on or available from such sites or resources; or (c) any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on such sites or resources.
12. Governing Law & Dispute Resolution
These Terms and Conditions and any dispute arising out of or relating to these Terms or your use of the Website or Services shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of the District of Montreal, and you irrevocably consent to the personal jurisdiction of such courts.
13. Severability & Entire Agreement
13.1 Severability.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions will continue in full force and effect.
13.2 Entire Agreement.
These Terms and Conditions, together with any policies or additional terms incorporated by reference (e.g., Privacy Policy), constitute the entire agreement between you and Tanjo Box with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, or communications.
